PURCHASE FORM

ONLINE PAYMENTS:
Online payments are "In Full" in so far as they are payment on video productions within the parameters of the "https://c47films.com/pricing/" page. All video productions include 1 Crew Member with 1 Professional Camera, Professional Audio Equipment and Professional Lighting. Equipment types and support equipment is at the discretion of C47 Film Associates. Video edits are on Premiere Pro or similar and shall be delivered in aproximately 10 days of filming. Client participation in reviews, delivery of assets, etc may affect delivery times.

TRAVEL FEES: Travel (outside of OSCEOLA/SEMINOLE/ORANGE/LAKE/POLK/VOULSIA COUNTIES, FL) including mileage, airfare, baggage fees, carnet, lodging, meals, per diem, vehicle & equipment rentals, and consumables billed as extra. Air/Hotel/Vehicle fees to be paid by client based on reasonable estimates before C47 will book travel. Variation in fees will be billed NET15 after expenses are incurred or credited to client on final invoice. 2023 Mileage rates are $0.654/mile. Travel day pay is billable at $250/person. Travel billed by expense report at completion of projects or, at month’s end when on retainer.

CHANGE ORDERS: Change orders will be billed as extra or pre-paid by client.

CANCELLATION: Project cancellations are subject to reasonable fees and cost reimbursement. Delays resulting in cancellations or postponement of production and/or post-production activities may result in additional fees and may delay delivery.

PROPOSAL VALIDITY: Proposal pricing valid for up to 90 Days. Client must sign within 90 days to lock in this proposal’s pricing, terms, etc.

PROCESS & DETAILS

CLIENT PROJECT REVIEW: Client review of all projects shall consist of 1 round of review only unless otherwise specifically stated. Changes after agreed to rounds of review may be considered billable change-order at the discretion of C47 Film Associates.

VIDEO & PHOTO TALENT: Location and talent fees are extra charges when applicable. VIDEO & PHOTO

DISTRIBUTION: Video distribution executed by client unless expressly agreed to within contract (i.e. Retainer based social media management).

WEB HOSTING & MAINTENANCE: Website hosting & management executed by client unless expressly included within the above agreement. Web care plans and hosting are available in addition to the project fee, if desired.

WEBSITE WARRANTY: If anything breaks on your site, at any time within 3 months after launch, it will be fixed without any charge. Minor content updates and revisions to the site (design, layout and functionality) within 30 days after launch and completion of the project are also covered free of charge. Web care plans are available for long-term immediate response to website content updates, site stability, and future website improvement.

ASSET USAGE & RIGHTS DATA STORGE & TRANSFER: Client use of data storage (i.e. Dropbox.com or the like) stored at client expense. Shipping of files via parcel billed as extra at cost + 30%. Retainer clients must pay for own version of Dropbox.com and accept shared folder from C47 to their account.

GENERAL ASSET USAGE RIGHTS: Client shall have unlimited use license for video created by C47 Film Associates for web and/or broadcast use. The revision of the video and/or the removal of footage for alternate uses is prohibited. All raw and undelivered video content remains the property of C47 Film Associates. All content raw or finished may be used by C47 for promotional purposes inclusive of behind the scenes (BTS) footage for vlog/blog/education uses. C47 Film Associates retains the right to display graphics and other web content elements as examples of their work in their portfolio and as content features in other projects. C47 and its affiliates also retains the right to place a text link on the bottom of every page.

CREATED ASSETS: Once project fee is paid in full to C47 Film Associates, any elements of text, graphics, photos, contents, trademarks, or other artwork furnished to client for inclusion in the website are owned by client to the extent that ownership is possible.

SUPPLIED ASSETS: C47 Film Associates assumes client has permission from the rightful owner to use any code, scripts, data, written content, reports, images and/or video which are provided by client for inclusion in its materials, and will hold harmless, protect, and defend C47 Film Associates from any claim or suit arising from the use of such work.

LOGO ASSETS: Client to supply logo assets and other relevant collateral in high-resolution vector format (.EPS or original source file as .AI or .PSD is preferred). Alterations to assets after they have been used in video project may be billed at hourly revision rates.

The agreement contained in this contract constitutes the sole agreement between Client and C47 Films regarding all items included in this agreement. This agreement becomes effective only when signed by an authorized agent of the client or an initial deposit is made. Regardless of the place of signing of this agreement, Itspearltime agrees that for purposes of venue, this contract was entered into in Florida and any dispute will be litigated or arbitrated in Florida. The prevailing party in any suit or action hereunder shall be entitled to recover from the losing party all costs incurred by it in enforcing the performance of, or protecting its rights under, any part of this Agreement, including reasonable costs of investigation and attorneys’ fees.

ACCEPTANCE: By submitting this form you accept the terms and certify that you are an authorized representative for your company/ organization who has the authority to enter into contractual & financial obligations for your company/organization.
